Referral Program Terms

1. Program Overview

The RTS Partner Network ("Program") is a referral arrangement operated by RTS Business Consulting FZCO ("RTS"). It allows individuals and businesses ("Partners") to earn a commission for introducing new clients ("Referrals") who engage RTS for professional services.

Participation is voluntary and non-committal. There are no targets, no minimum volumes and no exclusivity restrictions.

2. Eligibility

To enroll as a Partner, you must:

• Be at least 18 years old (or a registered legal entity)
• Provide accurate contact and payout information
• Comply with all applicable UAE laws, including AML, anti-bribery and data protection
• Not be a current RTS employee, contractor or close family member of either
• For real-estate-related referrals: hold a valid RERA permit where required under UAE Decree No. (85) of 2006

3. Unique Promo Codes

Each approved Partner receives a unique promo code in the format RTS-XXXX (e.g. RTS-AHMED). The Referral must mention this code when first contacting RTS — via WhatsApp, email, contact form or scoping call — for attribution to take effect.

If a Referral does not mention a code at first contact, RTS may, at its sole discretion, accept later attribution based on documented evidence (e.g. email introduction, screenshots).

4. Qualified Referral

A Referral is "qualified" when all of the following are true:

• The Referral is a new contact, not previously in RTS's CRM or pipeline
• The Referral signs an engagement letter with RTS
• The Referral passes RTS's standard AML and KYC checks
• The Referral pays their first invoice in full

Existing RTS clients, leads RTS was already in active discussion with, or contacts who fail KYC do not qualify.

5. Commission Structure

Commissions paid per qualified Referral, by service category:

The exact commission within each range depends on the specific package, scope and final invoice value. The amount is confirmed in writing before payout.

Recurring commissions on monthly accounting are paid for the first 3 months of the engagement (3 payments) — provided the Referral remains an active client.

Commissions are paid net of VAT. If the Partner is VAT- registered in the UAE, the Partner must invoice RTS with VAT separately.

6. Payout Terms

• Commission is paid by bank transfer to the Partner's nominated account within 5 working days of the Referral's first invoice being settled in full
• Recurring commissions paid monthly after each subsequent invoice settled
• Minimum payout threshold: AED 500. Smaller balances accrue until threshold is reached
• Cross-border bank charges are deducted from the payout for non-UAE bank accounts

7. Partner Conduct

Partners must:

• Represent RTS services accurately and not make unauthorized promises about pricing, timelines or outcomes
• Not use the RTS name, logo or trademarks beyond the materials provided
• Not engage in spam, mass cold outreach, paid Google Ads on the RTS brand name, or impersonation of RTS
• Not pay commissions onward to RERA-regulated persons unless properly licensed
• Not refer clients flagged for sanctions, PEP, or AML risk concerns

Breach of these conduct rules may result in immediate suspension and forfeiture of unpaid commissions.

8. Attribution & Disputes

If two Partners independently refer the same Referral, attribution is given to the Partner whose promo code was mentioned first by the Referral in a documented communication with RTS (WhatsApp message, email, contact form submission).

RTS's attribution decision is final. We aim to be transparent and will explain attribution to any Partner who asks.

9. No Employment Relationship

Partners are independent referrers, not employees, agents, contractors or representatives of RTS. Partners are responsible for their own taxes and any applicable regulatory permits in their country of residence.

Partners cannot enter into contracts on behalf of RTS or quote prices to Referrals. Pricing and engagement terms are set exclusively by RTS in the proposal sent to the Referral.

10. Confidentiality

Information shared between Partner and RTS regarding the Program, commission structures (where customized), and Referral identities is confidential. Both parties protect it for 2 years after Partnership ends.

11. Program Changes & Termination

RTS may amend these Terms or terminate the Program with 30 days' notice to Partners. Commissions already earned at the time of termination remain payable under the existing terms.

Either party may terminate the Partnership at any time with written notice. Earned but unpaid commissions remain payable.

12. Governing Law

These Terms are governed by the laws of the United Arab Emirates. Disputes fall under the exclusive jurisdiction of Dubai Courts.
